Terms of Service

1. Scope
These Terms of Service ("Terms") govern your access to and use of the websites, applications, paper-trading environments, and brokerage-related services operated by Northlane Markets LLC ("Northlane," "we," "us"). By creating an account, starting a trial, or using our site, you agree to these Terms. If you do not agree, do not use the services.

2. Service description
Northlane provides an online trading platform for eligible investors in the United States and Canada. Features may include commission-free stock and ETF trading, equity options trading subject to approval, fractional share purchases, real-time or delayed market data, charting tools, AI-assisted market briefs (informational only), and paper trading for practice. Availability of specific products depends on your residency, account type, and regulatory approval. Crypto and futures are not currently offered.
Paper trading uses simulated funds and does not create real market positions. Market data in paper mode may differ slightly from live fills. Nothing on the marketing site constitutes an offer to sell securities in any jurisdiction where such an offer would be unlawful.
3. Eligibility and account opening
You must be at least 18 years old (or the age of majority in your province or state) and capable of entering a binding contract. You agree to provide accurate information during onboarding and to keep it current. We may decline or close accounts that fail KYC/AML checks or that present unacceptable risk. Dual citizenship and cross-border tax situations may require additional documentation.
4. User obligations
You agree to:
- Use the platform only for lawful investing and education purposes
- Keep login credentials confidential and notify us of suspected unauthorized access
- Not attempt to disrupt, scrape at abusive rates, reverse engineer, or overload our systems
- Not use the AI brief feature as automated investment advice or as a substitute for your own judgment
- Comply with all applicable securities laws, including restrictions on insider trading and market manipulation
You are responsible for tax reporting on gains, dividends, and interest in your country of residence.
5. Market data and AI briefs
Market data is provided by third-party vendors and exchanges under separate licenses. Redistribution of data outside personal use is prohibited. AI market briefs summarize publicly available information and unusual activity signals; they are not personalized investment advice, and Northlane does not guarantee accuracy or completeness. Past performance — simulated or live — does not predict future results.
6. Intellectual property
The Northlane name, logos, software, charting layouts, and site content are owned by Northlane Markets LLC or its licensors. You receive a limited, non-exclusive, non-transferable license to use the platform for your personal or internal business investing. You retain ownership of your account data and trade instructions. You grant us a license to process that data as needed to provide the service and meet legal duties.
7. Fees and payment terms
US-listed stock and ETF trades are generally offered at $0 commission. Options contracts may carry a per-contract fee as disclosed in the platform fee schedule. Regulatory, exchange, and wire fees may apply and are shown before order confirmation when possible. Invoices for optional premium data packages, if any, are billed in USD unless otherwise stated. Late payment on premium add-ons may result in suspension of those add-ons. Paper trading practice does not incur trading commissions.
8. Risk disclosure
Trading stocks and options involves substantial risk of loss and is not suitable for every investor. Options can expire worthless. Fractional shares may have limited liquidity or corporate-action handling differences versus whole shares. Extended-hours trading can be more volatile with wider spreads. You should only trade with capital you can afford to lose.
9. Warranty disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. NORTHLANE DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted access, error-free data, or that paper-trading results will match live trading.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTHLANE AND ITS OFFICERS, EMPLOYEES, AND PARTNERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR TRADING LOSSES ARISING FROM USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) FEES YOU PAID TO NORTHLANE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED US DOLLARS (USD $100). Some jurisdictions do not allow certain limitations; in those places, our liability is limited to the fullest extent allowed.
11. Indemnification
You agree to indemnify and hold harmless Northlane from claims arising out of your breach of these Terms, your violation of law, or your misuse of the platform, except to the extent caused by our willful misconduct.
12. Termination
You may close your account through platform settings after liquidating or transferring positions. We may suspend or terminate access for violations of these Terms, regulatory requirements, or inactivity combined with unresolved compliance issues. Upon termination, provisions on liability, IP, and dispute resolution survive.
13. Data protection
Our collection and use of personal information is described in the Privacy Policy, which is incorporated by reference. By using the services, you acknowledge that policy.
14. Governing law
These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to conflict-of-law rules. For Canadian clients, mandatory consumer protections in your province continue to apply where they cannot be waived.
15. Dispute resolution
Before filing a lawsuit, contact us at hello@northlanemarkets.com to attempt informal resolution for 30 days. If unresolved, disputes shall be resolved in the state or federal courts located in Suffolk County, Massachusetts, unless applicable securities arbitration rules require a different forum for brokerage account disputes. You and Northlane waive jury trial to the extent permitted by law. Nothing here limits either party's right to seek injunctive relief for IP or data misuse.
16. Changes
We may modify these Terms by posting an updated version with a new effective date. Continued use after the effective date constitutes acceptance, except where local law requires affirmative consent for material changes.
